1. Introduction

These Terms of Service ("Terms") govern your access to and use of the FixRep platform and services ("Service") operated by FixRep SAS, a company registered in France ("FixRep", "we", "us", or "our").

By creating an account or using the Service, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

FixRep is a Software-as-a-Service (SaaS) platform designed for plumbing contractors. The Service provides the following features:

Review Monitoring: Automated scraping and monitoring of publicly available reviews from third-party platforms, including Google and Yelp.
AI-Generated Responses: Generation of professional response suggestions to reviews using artificial intelligence models.
Dashboard and Analytics: A centralized interface to manage and track online reviews and reputation metrics.

The Service is intended to assist plumbing contractors in managing their online reputation. AI-generated responses are suggestions only and must be reviewed and approved by the User before any use or posting.

3. Account Creation and Responsibilities

3.1 Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify FixRep immediately of any unauthorized access to or use of your account. FixRep shall not be liable for any loss or damage arising from your failure to secure your account.

3.3 Account Accuracy

You must keep your account information up to date. FixRep reserves the right to suspend or terminate accounts that contain inaccurate or misleading information.

4. Subscription and Payment Terms

4.1 Subscription Plans

Access to the Service requires a paid subscription. Details of available plans, features, and pricing are published on the FixRep website and may be updated from time to time.

4.2 Payment Processing

All payments are processed securely through Stripe. By subscribing, you agree to Stripe's terms of service in addition to these Terms. FixRep does not store your full payment card details.

4.3 Billing Cycle

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will automatically renew at the end of each billing cycle unless cancelled before the renewal date.

4.4 Refunds

Payments are non-refundable except where required by applicable law or as otherwise stated in a specific plan's terms. If you cancel your subscription, you will retain access to the Service until the end of the current billing period.

4.5 Price Changes

FixRep reserves the right to modify subscription pricing. You will be notified at least thirty (30) days in advance of any price increase. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

5. User Obligations

By using the Service, you agree to the following obligations:

5.1 Accurate Business Information

You must provide truthful and accurate information about your plumbing business, including business name, address, and associated review platform profiles.

5.2 Review and Approval of AI-Generated Responses

AI-generated response suggestions are provided as drafts. You are solely responsible for reviewing, editing, and approving any AI-generated content before posting it on any platform. FixRep does not post responses on your behalf without your explicit action.

5.3 Compliance with Third-Party Platform Terms

When posting responses generated or suggested by the Service on third-party platforms (including Google and Yelp), you are solely responsible for ensuring compliance with those platforms' terms of service, community guidelines, and policies. FixRep is not responsible for any violations of third-party platform rules.

5.4 Prohibited Uses

You shall not use the Service to:

Generate or post fraudulent, deceptive, misleading, or defamatory content.
Impersonate another person or business.
Harass, threaten, or intimidate reviewers or any other individuals.
Engage in any activity that violates applicable laws or regulations.
Attempt to manipulate or artificially inflate ratings or reviews.
Reverse-engineer, decompile, or disassemble any part of the Service.

6. FixRep's Obligations

6.1 Service Availability

FixRep shall use reasonable commercial efforts to maintain the availability of the Service. However, the Service may be subject to scheduled maintenance, updates, or occasional unplanned downtime. FixRep does not guarantee uninterrupted access.

6.2 GDPR-Compliant Data Handling

FixRep processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable French data protection laws. For detailed information, please refer to our Privacy Policy and Data Processing Agreement.

6.3 Data Backups

FixRep performs regular backups of User data as part of its standard operational procedures. While FixRep takes reasonable steps to protect data integrity, Users are encouraged to maintain their own records of critical business information.

7. Intellectual Property

7.1 Platform Ownership

The Service, including its software, AI models, algorithms, design, trademarks, and all associated intellectual property, is and remains the exclusive property of FixRep SAS. Nothing in these Terms transfers any ownership rights to the User.

7.2 User Data Ownership

You retain full ownership of all business data, review data, and other content you provide to the Service ("User Data"). By using the Service, you grant FixRep a limited, non-exclusive license to process your User Data solely for the purpose of providing the Service.

7.3 AI-Generated Content

Content generated by the Service's AI models ("AI-Generated Content") is licensed to you for your use in connection with your business reputation management. You may use, edit, and post AI-Generated Content as you see fit. FixRep retains the right to use anonymized and aggregated data derived from AI-Generated Content to improve its models and Service.

8. Limitation of Liability

8.1 No Guarantee of Outcomes

FixRep does not guarantee that use of the Service will result in the removal of negative reviews, improvement of ratings, or any specific reputation outcome. The Service provides tools and suggestions; results depend on numerous factors outside FixRep's control.

8.2 AI-Generated Content Disclaimer

AI-generated response suggestions are provided "as is" without warranty of any kind, whether express or implied. FixRep makes no representations regarding the accuracy, appropriateness, or effectiveness of AI-generated suggestions. You are solely responsible for any consequences arising from posting AI-generated or AI-assisted responses.

8.3 Third-Party Platform Actions

FixRep shall not be liable for any actions taken by third-party platforms (including Google and Yelp) in response to content you post, including but not limited to content removal, account suspension, or penalties.

8.4 Liability Cap

To the maximum extent permitted by applicable law, FixRep's total aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the total amount of fees paid by you to FixRep during the twelve (12) months immediately preceding the event giving rise to the claim.

8.5 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, FixRep shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action or the theory of liability.

9. Termination and Suspension

9.1 Termination by User

You may cancel your subscription and terminate your account at any time through the Service's account settings or by contacting FixRep support. Cancellation takes effect at the end of the current billing period.

9.2 Termination by FixRep

FixRep reserves the right to suspend or terminate your account, with or without notice, if:

You breach any provision of these Terms.
Your use of the Service poses a security risk or may cause harm to FixRep, other users, or third parties.
Your account has been inactive for an extended period.
Required by law or regulation.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately (or at the end of the billing period in the case of voluntary cancellation). FixRep may retain your data for a reasonable period in accordance with its data retention policy and applicable law. You may request export or deletion of your data in accordance with GDPR provisions.

10. Data Processing and GDPR Compliance

FixRep acts as a data processor with respect to personal data contained in publicly available reviews collected on your behalf. A separate Data Processing Agreement (DPA) governs the specific terms of data processing activities.

FixRep is committed to compliance with the GDPR (Regulation (EU) 2016/679) and the French Data Protection Act (Loi Informatique et Libertes). Users have the right to access, rectify, erase, and port their personal data, as well as the right to object to or restrict processing, as provided under applicable law.

11. Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of France, without regard to its conflict of laws provisions.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

13. Force Majeure

FixRep shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, power outages, internet or telecommunications failures, or actions of third-party service providers.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Modifications to These Terms

FixRep reserves the right to modify these Terms at any time. Material changes will be communicated to Users via email or through the Service at least thirty (30) days before they take effect. Continued use of the Service after modifications become effective constitutes acceptance of the revised Terms.

16. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and FixRep with respect to the Service and supersede all prior or contemporaneous agreements, understandings, or representations.
